Terms & Conditions

These Terms & Conditions (“Terms”) govern the provision of services by Design by Niko, a self-employed freelance business based in Luxembourg (“we”, “us”, “our”), to you (“the Client”).

By engaging our services, you agree to be bound by these Terms.

1. Services

Design by Niko provides professional services including, but not limited to:

  • Web design (Figma)

  • Web development (Squarespace, including e-commerce functionality)

  • Brand identity and branding services

  • Custom coding (CSS / JavaScript)

  • Optional ongoing support and maintenance (where agreed separately)

All services are provided on a project-based basis only, unless otherwise agreed in writing.

2. Project Scope

The scope of work, deliverables, timelines, and pricing will be defined in a written proposal, agreement, or email confirmation prior to the start of the project.

Any work requested outside the agreed scope may require additional fees and revised timelines.

3. Client Responsibilities

The Client agrees to:

  • Provide all required content, materials, and feedback in a timely manner

  • Ensure that all supplied content (text, images, media, trademarks) is owned by the Client or properly licensed

  • Review and approve work within reasonable timeframes

Delays caused by missing content or feedback may affect project timelines and delivery dates.

4. Payments & Invoicing

  • Payments are made via invoice only

  • Accepted payment methods: Stripe, Bonsai, or bank transfer

  • A 50% deposit is required before work begins, unless otherwise agreed

  • The remaining balance is due before final launch, completion, or handover

All invoices must be paid in full before final files, website access, or ownership rights are transferred.

5. Refunds & Cancellations

Refunds are handled as follows:

  • If a project is cancelled before work has started, the deposit may be refunded

  • If work has already started, refunds will be calculated proportionally based on the amount of work completed at the time of cancellation

  • Completed work, delivered assets, and time spent will be deducted from any refund

No refunds are provided for completed work already delivered or approved.

6. Intellectual Property

  • Upon full payment, the Client owns the final approved deliverables

  • Design by Niko retains the right to:

    • Display the work in portfolios

    • Use screenshots or previews for marketing and promotional purposes

Drafts, concepts, and unused designs remain the property of Design by Niko unless otherwise agreed.

7. Third-Party Platforms & Services

Where services involve third-party platforms (such as Squarespace or payment providers):

  • We are not responsible for platform outages, updates, or limitations

  • The Client agrees to comply with the terms of those platforms

  • We do not guarantee uptime, availability, or future functionality of third-party services

8. Support & Maintenance

Unless otherwise agreed in writing:

  • The project includes 30 days of free email support after launch

  • Any support or maintenance beyond this period requires a separate agreement or fee

9. No Guarantees

Design by Niko does not guarantee:

  • Business results, conversions, revenue, or rankings

  • Specific performance outcomes

  • Platform behavior beyond our control

All services are provided using professional skill and care, but outcomes depend on many external factors.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is limited to the fees paid for the specific project

  • We are not liable for indirect, incidental, or consequential damages

  • We are not responsible for loss of data, revenue, or business opportunities

11. Termination

We reserve the right to terminate a project if:

  • The Client becomes unresponsive for an unreasonable period

  • The Client breaches these Terms

  • Continued collaboration becomes impractical or unprofessional

In such cases, payment remains due for work completed up to the termination date.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Luxembourg.

Any disputes arising from these Terms or the provided services shall be subject to the exclusive jurisdiction of the courts of Luxembourg.
